TORAM General Incorporated Association Space Arts Membership Terms and Conditions

Article 1 (Purpose)
The TORAM Spatial Arts Association Membership Terms and Conditions (hereinafter referred to as "these Terms and Conditions") stipulate the membership fees stipulated in the Articles of Incorporation of the TORAM Spatial Arts Association (hereinafter referred to as "the Association"), as well as the basic matters regarding the operation of the Association and member activities, such as admission and withdrawal of members (excluding executive members, the same applies hereinafter) and member privileges and obligations.

Article 2 (Name)
This association is called TORAM Spatial Art General Incorporated Association.

Article 3 (Members)
The Association defines the following four types of members (excluding executive members):
(1) TORAM Members: Individuals, corporations, organizations, etc. who agree with the Association’s objectives and have applied for membership and whose membership has been approved by the Representative Director. (2) General Members: Corporations or organizations, etc. who agree with the Association’s objectives and have applied for membership to support the Association’s activities and whose membership has been approved by the Representative Director. (3) Supporting Members: Local governments and other administrative agencies and their organizations, etc. who agree with the Association’s objectives and have applied for membership to cooperate with the Association’s activities and whose membership has been approved by the Representative Director. (4) Registered Members: Corporations, organizations, individuals, etc. who agree with the Association’s objectives and have applied for membership to cooperate with the Association’s activities and whose membership has been approved by the Representative Director.

Article 4 (Application for Membership, etc.)
Anyone wishing to become a member of the Association must submit a membership application form as specified separately.
2. When an application as described in the preceding paragraph is received, the Representative Director shall decide whether to approve or disapprove the application and notify the applicant of the decision.
3 The date of payment of the membership fee as specified in Article 6 shall be the date of admission.

Article 5 (Membership Eligibility Criteria)
When an application for membership as described in the preceding article is received from a person seeking membership of the Association, the Representative Director may not approve the application if any of the following conditions apply.
(1) When you do not agree with the purpose of the Association. (2) When you have been expelled or withdrawn from the Association in the past for violating these terms and conditions or other terms and conditions. (3) When there are false statements, errors, or omissions in the information provided in the membership application form as described in the previous article. When the business or products of the person seeking membership violate laws and regulations, or are significantly contrary to social norms, or when the Board of Directors has resolved that there is a risk of such violations. (4) When the Association otherwise deems it inappropriate.

Article 6 Membership Fee (Admission Fee) *Tax included
The annual membership fee for each member is as follows:
(1) TORAM Membership Individual 12,000 yen (0 yen)
B. Group: 30,000 yen (0 yen)
C Corporation: 50,000 yen (0 yen)

However, this does not apply if the Representative Director approves the reasons for consideration.

(2) The Representative Director may reduce the annual membership fee for the first year of membership as follows:
*Monthly membership fees will be charged from the day you join.
(3) The annual membership fee for the first year of membership must be paid within two weeks of receiving notification from the Representative Director after approval of membership pursuant to Article 4, Paragraph 2.
(4) Annual membership fees for the following fiscal year after joining must be paid by the day before the start of that fiscal year.
(5) Once paid, annual membership fees will not be refunded for any reason.

Article 7 (Validity Period)
The validity period of membership shall be from the time when the Association receives the application for membership, approves the application, and confirms the payment of the admission fee and membership dues stipulated in Article 6 until March 31st of the following year, and thereafter shall be automatically renewed unless there is a request for withdrawal pursuant to Article 8, expulsion pursuant to Article 9, or loss of membership pursuant to Article 10.

Article 8 (Withdrawal)
Members may voluntarily withdraw from the Association by submitting a notice of withdrawal as specified separately at least one month prior to the date of withdrawal.

Article 9 (Expulsion)
When a member falls into any of the following categories, the member may be expelled by a resolution of the Board of Directors.
(1) When a member violates these Articles of Incorporation or other rules. (2) When a member acts in a manner that damages the reputation of the Association or is contrary to its purpose. (3) When a member engages in independent commercial activities aimed at members that are unrelated to the activities of the Association without the permission of the Association. (4) When a member acts in competition with the Association without the permission of the Association. (5) When a member acts infringing on the trademark rights owned by the Association without the permission of the Association. (6) When a member applies for a trademark similar to a trademark owned by the Association without the permission of the Association. (7) When the information registered with the Association contains false information. (8) When a member does not comply with the requirements of the Association. (9) When there is evidence that a member has made libel or slander against the Association or a person with an interest in the Association; (10) When a member has adversely affected the Association's business activities by interfering with the Association's business activities; (11) When a member has engaged in solicitation to other members for multi-level marketing, network marketing, or other multilevel marketing transactions, or for religious or other activities (including any acts that may be considered as solicitation); (12) When a member has engaged in acts that violate laws, regulations, or public order and good morals; or (13) When there are other legitimate grounds for expulsion.

9. Correction of customer information, suspension of use, confirmation of contents (disclosure), etc.
Please contact us below regarding corrections, suspension of use, confirmation (disclosure) of customer information, etc., in accordance with the Personal Information Protection Act. However, please note that depending on the sales floor you have registered, we may ask you to contact the department store or other store where the sales floor is located.

Article 10 (Loss of Membership)
In addition to the cases prescribed in the preceding article, a Member will lose his/her membership if he/she falls under any of the following:
(1) When a member dies, is declared missing, or is dissolved; (2) When a member becomes an adult ward or a person under guardianship; (3) When membership fees have not been paid for six months or more without a valid reason; (4) When all members agree to this.

Article 11 (Benefits and Obligations Upon Termination of Membership)
If a member loses his/her membership status in accordance with the provisions of the preceding three articles, he/she will lose the privileges of membership and will be relieved of his/her obligations to the Association. However, he/she will not be relieved of any unfulfilled obligations. Furthermore, he/she will not be able to request a refund of any membership fees, membership dues, or other contributions that he/she has already paid.

Regular members have the following benefits:
(1) Information on exhibitions and other events organized by TORAM
(2) Information on interactive events and other events organized by TORAM
(3) Discount on admission fees at exhibitions organized by TORAM
(4) Commemorative gifts for visitors at exhibitions organized by TORAM
(5) Benefits for members who introduce new members
(6) Company, organization, and individual names displayed on TORAM's website (optional)
(7) Discount on exhibition fees when exhibiting at exhibitions organized by TORAM
(8) Discount on usage fees at art galleries affiliated with TORAM
(9) General members' names displayed at exhibitions organized by TORAM *optional
(10) Exhibition catalogs organized by TORAM
(11) Unrestricted submission of works at exhibitions organized by TORAM
(12) Images of works and names of artists displayed on TORAM's website
2. General members have the following benefits:
However, when the proviso of Article 6, paragraph 1 (1) is applied, the benefits that can be enjoyed may be limited.
(1) Information on exhibitions and other events organized by TORAM
(2) Information on participatory events and other events organized by TORAM
(3) Discount on admission fees at exhibitions organized by TORAM
(4) Commemorative gifts for visitors at exhibitions organized by TORAM
(5) Benefits given to members who introduce new members
(6) Company, organization, and individual names displayed on TORAM's website (optional)
(7) Discount on exhibition fees when exhibiting at exhibitions organized by TORAM
(8) Discount on usage fees at art galleries affiliated with TORAM
(9) Display of general member names at exhibitions organized by TORAM *optional
(10) Presentation of exhibition catalogs organized by TORAM
(11) Submission of works at exhibitions organized by TORAM without judging
3. Supporting members have the following benefits.
(1) Providing information on exhibitions and other events organized by TORAM Spatial Art
(2) Providing information on interactive events and other events organized by TORAM Spatial Art
(3) Discounts on admission fees at exhibitions organized by TORAM Spatial Art
(4) Presenting a commemorative gift for visitors at exhibitions organized by TORAM Spatial Art
(5) Presenting special benefits to members who introduce new members
(6) Displaying company, organization, and individual names on the TORAM Spatial Art website *Optional
4. Registered members are entitled to the following special benefits:
(1) Providing information on exhibitions organized by TORAM Spatial Art
(2) Providing information on interactive events organized by TORAM Spatial Art

Article 13 (Member Obligations)
Members have the following obligations:
(1) Comply with the Articles of Incorporation and other rules and resolutions of the Association.
(2) Pay the membership fees of the Association.
(3) Strive to expand membership.
(4) If a member of the Association conducts business with another member or with someone he or she has met through a business conducted by the Association, the member must immediately report this to the Secretariat.
(5) If there is a change in a member's registered information, the member must submit a notification of change of registered information to the Representative Director. The Association shall not be held responsible for any disadvantage suffered by a member due to failure to submit such notification.

Article 14 (Member List)
The Association will create a membership list that lists the names or surnames and email addresses of members.

Article 15 (Office)
The Association's main office is located in Fukuoka City, Fukuoka Prefecture. With the approval of the Board of Directors, the Association may also establish branches in other locations as necessary.

Article 16 (Additions and changes to membership terms and conditions)
Any matters not specified in these regulations that are deemed necessary will be determined by resolution of the general meeting of members.
2. The Association may amend these Terms and Conditions in whole or in part by resolution of the General Meeting of Members.
3. Any changes to these Terms and Conditions made by resolution of the Association's General Meeting of Members shall take effect at the time they are posted on the Association's website, and thereafter members shall be bound by the changed Terms and Conditions.

Article 17 (Protection of Confidential Information)
The Association shall take all possible measures to protect confidential information that it learns in the course of its business.

The Association will take all possible measures to protect personal information acquired in the course of business.

Article 19 (Disclaimer and Compensation for Damages)
Members shall decide at their own discretion whether to use and how to use materials, information, etc. obtained in connection with the activities of the Association, and the Association shall not be held responsible for any damages suffered by members or third parties as a result of such use.Even if the Association is liable for damages to members, regardless of the cause, the Association shall not be liable for indirect damages, special damages, lost profits, claims from third parties, or damages based on slight negligence, regardless of whether such damages were foreseeable.
2. Even after a member loses his/her membership due to withdrawal, expulsion, etc., the provisions of this Article shall continue to be effective with respect to that member.

Article 20 (Compliance with Laws and Regulations)
1. All members of the Association shall comply with the provisions of laws, government ordinances, ministerial ordinances, and other laws and regulations, as well as any ethical standards separately established by the Association.
The above terms and conditions shall apply to all members of the Association, and all members shall agree to and comply with these terms and conditions.
Supplementary ProvisionsThese Terms and Conditions shall come into effect on October 1, 2020.
2. These membership regulations cannot be amended without a resolution of the general meeting of members.
