General Incorporated Association Spatial Arts TORAM Membership Agreement

Article 1 (Purpose)

The General Incorporated Association Kukan Geijutsu TORAM Membership Agreement (hereinafter referred to as the “Terms”) sets forth the membership fees as stipulated in the Articles of Incorporation of the Kukan Geijutsu TORAM (hereinafter referred to as the “Association”), and the membership of the Association. (Excluding executive members, the same shall apply hereinafter) to determine the basic matters for the operation of the Association and member activities, such as joining and leaving membership and member benefits and obligations.

Article 2 (Name)

This association is called General Incorporated Association Kukan Geijutsu TORAM.

 

Article 3 (Members)

Members (excluding executive members) as determined by the Association shall be of the following four types.
(1) TORAM members
Individuals, corporations, organizations, etc. who agree with the purpose of this association, apply for membership, and are approved for membership by the representative director
(2) General member
Corporations or organizations that agree with the purpose of the Association, have applied for membership to support the business of the Association, and have been approved for membership by the representative director.
(3) Supporting members
Local governments, other administrative agencies, and their organizations that have applied for membership to support the purpose of the Association and cooperate with the business of the Association, and have been approved for membership by the Representative Director.
(4) Registered member
Corporations, organizations, individuals, etc. who agree with the purpose of the Association, apply for membership in order to cooperate with the business of the Association, and are approved by the Representative Director for membership.

 

Article 4 (Membership application, etc.)

A person who wishes to become a member of the Association must submit a membership application form specified separately.
2. The representative director shall decide whether to approve or disapprove the membership upon receiving the application in the preceding paragraph, and notify the applicant of this.
3 The membership fee payment date specified in Article 6 shall be the admission date.

 

Article 5 (Membership Criteria)

When a person who wishes to become a member of the Association receives an application as set forth in the preceding article, the Representative Director may not approve the membership if any of the following items apply.
(1) When you do not agree with the purpose of the Association
(2) When you have been expelled or withdrawn from membership due to a violation of these Terms or other terms in the past
(3) When there is a false entry, error or omission in the entry form of the membership application form in the preceding article.
When the business or product of the person who intends to become a member violates laws and regulations, or is significantly contrary to social norms, or when the board of directors decides that there is a risk of doing so
(4) When the association deems it inappropriate

 

Article 6 Membership fee (entrance fee) *Tax included

The annual membership fee for each member is as follows.
(1) TORAM members
b Individual 11,000 yen (0 yen)
B Group 11,000 yen (0 yen)

C Corporation 11,000 yen (0 yen)


However, this does not apply if the representative director approves the reasons to be considered.

 

(2) The representative director may reduce the annual membership fee for the first year of membership as follows.
* Monthly membership fee will be charged from the date of joining.
(3) The annual membership fee for the first year of membership must be paid within two weeks after approval and notification of membership by the representative director in accordance with Article 4, paragraph 2.
(4) Annual membership fees for the year after joining must be paid by the day before the year begins.
(5) The annual membership fee once paid shall not be refunded for any reason.

 

Article 7 (Term of Validity)

The validity period of membership shall be from the time the Association receives the application form for membership, approves the membership, and confirms the payment of the admission fee and membership fee stipulated in Article 6 until March 31 of the following year. It shall be automatically renewed unless there is a request for withdrawal according to Article 9, expulsion according to Article 9, or loss of membership according to Article 10.

 

Article 8 (Withdrawal)

A member may voluntarily withdraw from membership by submitting a separate withdrawal notice one month prior to the date of withdrawal.

 

Article 9 (Expulsion)

If a member falls under any of the following, the member may be expelled by resolution of the board of directors.
(1) When violating this Articles of Incorporation or other rules
(2) When the member damages the reputation of the Association or acts contrary to its purpose.
(3) Conducting original commercial activities for members that are unrelated to the activities of the Association without permission from the Association;
(4) In the event of engaging in an act that competes with the Association without permission from the Association;
(5) Infringement of trademark rights owned by the Association without permission from the Association;
(6) When applying for a trademark similar to a trademark owned by the Association without permission from the Association;
(7) If the information registered with the Association contains false information.
(8) When there is a fact that is recognized to have slandered the Association or an interested party of the Association
(9) In the event of adversely affecting the business activities of the Association by interfering with the business activities of the Association
(10) Inviting other members to participate in multi-level marketing, network marketing, other multilevel marketing transactions, or to participate in religious activities (including any actions deemed to be such solicitations).
(11) If the User commits an act contrary to laws or public order and morals;
(12) When there are other justifiable grounds for expulsion

 

Article 10 (Loss of Membership)

In addition to the cases in the preceding article, members shall lose their qualifications if they fall under any of the following.
(1) When death, declaration of disappearance, or dissolution
(2) When the person becomes an adult ward or person under curatorship
(3) When the membership fee is delinquent for six months or more without justifiable reason
(4) When all employees agree

 

Article 11 (Privileges and Obligations Accompanying Disqualification of Membership)

When a member loses his/her eligibility pursuant to the provisions of the preceding three articles, he or she loses the benefits of being a member of the Association and is exempt from obligations. However, unfulfilled obligations cannot be waived. In addition, refunds of admission fees, membership fees, and other contributions that have already been paid cannot be requested.

 

Article 12 (Member Benefits)

Regular members have the benefits listed in the following items.
(1) Exhibitions and various information provided by Kukan Geijutsu TORAM
(2) Participatory events and various types of information provided by Kukan Geijutsu TORAM
(3) Discount on admission fees at exhibitions sponsored by Kukan Geijutsu TORAM
(4) Commemorative gifts for visitors at exhibitions sponsored by Kukan Geijutsu TORAM

(5) Present benefits to members who introduce new members

(6) Posting company name, organization name and individual name on Kukan Geijutsu TORAM website *Optional
(7) Discount on exhibition fees when exhibiting at exhibitions sponsored by Kukan Geijutsu TORAM

(8) Discount on usage fees at art galleries affiliated with Kukan Geijutsu TORAM

(9) List general member names at exhibitions sponsored by Kukan Geijutsu TORAM *Optional

(10) Presenting an exhibition catalog sponsored by Kukan Geijutsu TORAM

(11) Exhibiting work without judging at an exhibition sponsored by Kukan Geijutsu TORAM

(12) Artwork image and artist name posted on the Kukan Geijutsu TORAM website
2 General members shall have the privileges listed in the following items.

However, if the proviso of Article 6, Paragraph 1 (1) is applied, the privileges that can be enjoyed may be restricted.

(1) Exhibitions and various information provided by Kukan Geijutsu TORAM
(2) Participatory events and various types of information provided by Kukan Geijutsu TORAM
(3) Discount on admission fees at exhibitions sponsored by Kukan Geijutsu TORAM
(4) Commemorative gifts for visitors at exhibitions sponsored by Kukan Geijutsu TORAM

(5) Present benefits to members who introduce new members

(6) Posting company name, organization name and individual name on Kukan Geijutsu TORAM website *Optional
(7) Discount on exhibition fees when exhibiting at exhibitions sponsored by Kukan Geijutsu TORAM

(8) Discount on usage fees at art galleries affiliated with Kukan Geijutsu TORAM

(9) List general member names at exhibitions sponsored by Kukan Geijutsu TORAM *Optional

(10) Presenting an exhibition catalog sponsored by Kukan Geijutsu TORAM

(11) Exhibiting work without judging at an exhibition sponsored by Kukan Geijutsu TORAM

3 Supporting members shall have the privileges listed in the following items.

(1) Exhibitions and various information provided by Kukan Geijutsu TORAM
(2) Participatory events and various types of information provided by Kukan Geijutsu TORAM
(3) Discount on admission fees at exhibitions sponsored by Kukan Geijutsu TORAM
(4) Commemorative gifts for visitors at exhibitions sponsored by Kukan Geijutsu TORAM

(5) Present benefits to members who introduce new members

(6) Posting company name, organization name and individual name on Kukan Geijutsu TORAM website *Optional

4. Registered members shall have the privileges listed in the following items.
(1) Provision of information on exhibitions hosted by Kukan Geijutsu TORAM

(2) Provision of information on participatory events hosted by Kukan Geijutsu TORAM

 

Article 13 (Obligations of Members)

Members have the following obligations:
(1) Comply with the Articles of Incorporation and other rules and resolutions of the Association.
(2) Pay membership fees, etc. of the Association.
(3) Strive to increase membership.
(4) When conducting business with another member of the Association or with a person who has met through a business conducted by the Association, the relevant member shall immediately report it to the secretariat.
(5) When there is a change in the registered items of the member, submit a registered item change notification to the representative director. The Association shall not be held responsible for any disadvantage suffered by a member due to his/her failure to submit a notification of change.

 

Article 14 (Member list)

The Association shall prepare a member list containing the name or full name and e-mail of the member.

 

Article 15 (Office)

The main office of the Association shall be located in Fukuoka City, Fukuoka Prefecture. In addition, the Association may, with the approval of the Board of Directors, set up branch offices, etc., in necessary locations.

 

Article 16 (Additions and Changes to Membership Terms)

Matters not stipulated in these Terms and Conditions that are deemed necessary shall be determined by a resolution of the general meeting of employees.
2. The Association may change all or part of these Terms by resolution of the general meeting of employees.
3. The Terms of Use amended by resolution of the general meeting of members of the Association shall take effect at the time they are posted on the website of the Association, and thereafter members shall be bound by the amended Terms of Use.

 

Article 17 (Protection of Confidential Information)

The Association shall take all possible measures to protect confidential information obtained in the course of business.

 

Article 18 (Protection of Personal Information)

The Association shall take all possible measures to protect personal information obtained in the course of business.

 

Article 19 (Disclaimer and Compensation for Damages)

Members shall, at their own discretion, decide whether or not to use materials, information, etc. obtained in connection with the activities of the Association, and how to use them. The Association shall not be held responsible in any way. In the unlikely event that the Association is liable for damages to a member, regardless of the cause, the Association will not be liable for indirect damages, special damages, lost profits, claims from third parties and minor damages. We shall not be liable for damages caused by negligence, whether foreseen or not.
2. Even after a member loses membership due to withdrawal, expulsion, etc., the provisions of this article shall continue to be effective for the member concerned.

 

Article 20 (Compliance with laws and regulations)

All members of the Association shall comply with the provisions of various laws, government ordinances, ministerial ordinances, etc., and shall comply with the Code of Ethics if otherwise specified by the Association.

As described above, these Terms shall apply to all members of the Association, and all members shall agree to and comply with these Terms.

Supplementary provision
This agreement shall come into effect from October 1, 2020.
2 This membership agreement cannot be revised without a resolution of the General Assembly.
